1. Delivery is to front of premises only unless by prior arrangement in writing.  All goods must be checked and accounted for before signing the delivery note. The signed delivery note will be classed as confirmation of a correct and intact order. Any damage in transit must be reported to OPC Solutions Limited in writing within three days of receipt of the goods. Shortages in delivery should be so marked on the delivery note returned with the driver or carrier.

2.You will be supplied with all product data sheets, COSHH guidelines plus a pair of safety gloves and goggles on your initial delivery. If anything is omitted then you must advise OPC Solutions Limited and the missing item/s will be provided. All products data sheets and COSHH guidelines are made available for free download from this website and therefore it is incumbent on the customer to ensure that they have familiarised themselves with this vital information and made it available to their staff/operators.

3. A 25% cancellation charge of order value will be levied on incorrectly ordered or customer cancelled orders. 100% cancellation charge applicable on special orders.

4. Credit card transactions are subject to a 3% credit card charge (CCC).

5. Prices exclude VAT at prevailing rate (currently 17.5%).

7. OPL Limited reserves the right to refuse or cancel your order.

8. No order shall be subject to any other conditions and these Terms and Conditions of Sale may only be varied in writing and signed by OPC Solutions Limited and the Customer.

9. Any date given by OPC Solutions Limited for the supply of goods or provision of services shall be approximate only. No supply of goods or provision of services shall be overdue after such date until the Customer has made a written request to OPC Solutions Limited and has given OPC Solutions Limited a reasonable time to comply.

10. No responsibility is accepted by OPC Solutions Limited for any loss, damage or expense whatsoever arising from any failure/delay to deliver or provide goods/services via an external company.

11. Should OPC Solutions Limited be unable to supply specific goods as quoted for reasons beyond its control OPC Solutions Limited reserves the right to either cancel the contract or, with the Customer's consent, supply an alternative product of equal or better quality or specification.

12. The Customer must satisfy themselves that the goods supplied by OPC Solutions Limited are fit and suitable for the purpose for which they are required and that they satisfy any statutory requirements relevant to that use. OPC Solutions Limited does not warrant their suitability or condition in any way and all terms and conditions whether express or implied by common law, statute or otherwise unless herein expressed are excluded to the extent that their exclusion is not rendered void by statute.

13. All pumps supplied and installed free of charge are done so on the strict understanding and agreement that only chemical products supplied from OPC Solutions Limited are to be used for the duration.

14. All pumps supplied and installed on loan by OPC Solutions Limited remain the property of OPC Solutions Limited and must be kept safe from harm and not be tampered with. Any calibration settings must be carried out by OPC Solutions Limited and their authorised representatives only.

15. All goods supplied by OPC Solutions Limited remain the property of OPC Solutions Limited until full payment is received. The risk in the goods passes to the Customer upon delivery. If the Customer shall sell the goods in such a manner as to pass to a third party a valid title to the goods, the Customer shall hold the proceeds of such sale in trust for OPC Solutions Limited.

16. OPC Solutions Limited's liabilities arising out of the supply of the goods or provision of services shall be limited to defective components, faulty workmanship or material only and shall not apply to defects or malfunction due to any other cause. OPL Limited will not in any circumstances be liable for any consequential damage, loss or expense howsoever caused whether to the Customer or to any other person or thing whether arising directly or indirectly from the defect or malfunction. However this shall not exclude OPL Limited's liabilities in respect of death or personal injury caused by the negligence of OPL Limited.

17. The Customer shall make payment for the goods or services including any VAT due thereon to the terms and within the period specified by OPC Solutions Limited. If payment terms have not been specified prior to the delivery of the goods or provision of the services full payment shall become due by return upon delivery of the goods or provision of the services. OPC Solutions Limited reserves the right to charge interest on overdue payments from the date due at borrowing rates then current but not less than 3% above OPC Solutions Limited's Bankers Base Rate from time to time in force.

18. OPC Solutions Limited shall have a lien on all undelivered goods which the Customer agrees to buy from OPC Solutions Limited for all monies due from the Customer to OPC Solutions Limited under this or any other contract between them.

19. OPC Solutions Limited can cancel this contract (without prejudice to their other rights and remedies) should the Customer refuse or fail to accept delivery of the goods or if the Customer becomes insolvent.

20. OPC Solutions Limited shall not be liable for any failure or delay in performing any of its obligations under this contract if such failure or delay is due to any Act of God, Riots and Commotion, Fire, Industrial Dispute or any such like circumstances beyond its control.

21. If any of the provisions of these Terms and Conditions of Sale or any part thereof shall be declared invalid or unenforceable all other provisions or any part or parts thereof shall remain in full force and effect.

22. The provisions of these Terms and Conditions of Sale and any dispute or litigation arising there from shall be construed in accordance with or governed by English Law.

23. All orders for non hazchem chemical products over £100 + vat are inclusive of free delivery. Orders less than £100 will attract £10 + vat delivery charge.  Hazchem chemical products are subject to a minimum order of £200-00 + vat for free delivery.  Orders under £200-00 + vat will attract a £20-00 + vat delivery charge due to higher speciality shipping costs.

24. We will supply, install and maintain the automatic dosing pumps free of charge on the basis of a minimum spend per month which will be determined for each site individually. Sites that fall below the minimum usage criteria will be offered the pumps and service on a chargeable basis after which we would supply the products on demand.

25. For free delivery it is a requirement that the site give a minimum of 3 days notice for any delivery requirements. All orders required on a next day carrier will be subject to a £10 delivery charge.
